A restaurant sale with an alcohol license has another approval process to plan. Fresno Business Brokers Prime offers valuation referrals; ABC and the transaction professionals handle the license application and transfer steps.
Identify the transfer being proposed
Contact the appropriate ABC district office about the proposed business and license change. The license type and transaction details determine the forms, fees and other requirements.
Do not assume the business purchase agreement itself transfers the license. Business ownership, the licensed premises and operating authority need to be coordinated.
Check the steps before filing
ABC guidance notes that some applicants need zoning approval, escrow or a certified Notice of Intended Transfer before filing an application. Confirm what is required for the particular transaction.
ABC instructions state that where a business transfer involves a purchase price or consideration, escrow must be established before the license transfer application is filed. Discuss this with the escrow holder and advisors.
Allow for agency review
Ask ABC about any conditions and whether a temporary permit could apply. A temporary permit is conditional; it should not be promised as a routine substitute for completing the transfer.
Keep lease approval, tax clearance and license work on the same closing timetable. A delay in any one of them may change when the buyer can take over.
Keep the valuation conversation separate
An initial review can consider the restaurant's earnings and proposed assets. It does not establish a transferable license value, guarantee approval or submit documents to ABC for you.
